Description

The primary purpose of this position is to bring additional legal resources to the Devonshire Investors (DI) Legal Team to provide more timely and focused attention to the various transactional and business issues raised by the operating businesses, the investment processes and the capital transactions, to increase the knowledge base among the DI Legal Team, and to insure appropriate staffing levels for the business needs under all reasonably predictable circumstances and contingencies. Initially, the position would focus on supporting certain discrete businesses and/or issues (to be determined with the other members of the DI Legal team) and on creating and managing the infrastructure related to all aspects of entity creation and governance for the various entities for which DI has responsibility. This includes all shareholder, partner and board votes and consents, officer authorizations and related entity structure documentation.

Primary Responsibilities

* Supervise the Senior Product Manager
* Create meaningful organization charts for each entity with summary information on governance and capital structure
* Work closely with the DI HR function and the FMR Corporate Legal Department to track and monitor all compensatory plans for DI and its related entities
* Work closely with the FMR Corporate Legal Department and DI HR function to track and monitor all Control Group issues for ERISA and 409A testing and compliance
* Work closely with the DI Compliance and HR functions to insure that all DI businesses have appropriate and documented employee policies
* Develop an outside counsel budget, tracking and approval process to coordinate with the eCounsel system

Qualifications

Education and Experience

* At least five years of direct relevant legal experience in law firm and/or in-house practice focusing on general corporate business issues
* J.D. required

Skills and Knowledge

* Excellent project management and organizational skills
* Ability to understand and convey complex legal and organizational structures
* Exposure to international operating companies and international legal systems
* Preference for some management experience
* Preference for some proficiency with one or more foreign languages, especially Japanese, French, Spanish, and Arabic
